ABOUT ED

Ed is a New York-licensed attorney who trained with Davis, Polk & Wardwell in New York and Hong Kong and was most recently a partner at Milbank, Tweed, Hadley & McCloy and the resident partner and chief representative of Milbank’s Beijing office since 2005. Prior to that, Ed was the general counsel for Non-Japan Asia for Goldman Sachs’ private equity and principal investing groups.
Ed is ethnic Chinese and was raised in the United States, attending both Stanford University and Harvard Law School, where he graduated with honors, before beginning his legal career with Davis Polk in New York in 1995. Ed spent 18 years practicing law in Hong Kong and Beijing before returning to the United States in 2014 to help Fangda develop its business in the U.S. market. During his 18 years in Greater China with U.S.law firms and Goldman Sachs, Ed has hired and supervised practically every top Chinese law firm on behalf of his U.S. clients across all practice areas. He is intimately familiar with how to choose the best teams at Chinese law firms and interact with them cost effectively and in order to produce the best quality results on behalf of U.S. clients.

In his own practice, Ed specializes in cross-border (inbound and outbound) M&A and private equity deals, but has also regularly worked on Hong Kong and U.S. IPOs from Chinese issuers. In the private equity area, Ed’s clients included Baring Private Equity, Citigroup (CVCI), Citadel, EQT, Goldman Sachs and J.P. Morgan in growth stage, buy-out, pre-IPO, PIPE and other private equity transactions in China. He was also the senior associate on the Milbank team which represented China Construction Bank (CCB) in the acquisition by Bank of America of a $10 billion equity stake in CCB, still the single largest foreign investment in China’s history. More recently, Ed advised China’s biggest aviation company, China Aviation Industry Corporation (AVIC) in its 100% acquisition of Teledyne Continental Motors in the first successful PRC acquisition in the U.S. aviation industry.

Ed’s capital markets work includes representing Morgan Stanley and Citigroup in connection with the IPO of Tom Online, which was the first ever dual listing on Nasdaq and Hong Kong GEM, and representing Mandra Forestry, a PRC forestry company, in a complex high-yield bond offering that earned ALB’s China Debt Market Deal-of-the-Year Award. He also has expertise in distressed debt and has advised on a number of NPL deals in China,
Thailand and Indonesia.Ed is ranked as one of Asia’s top private equity lawyers by Chambers Asia, Euromoney/IFLR’s Expert Guide to the World’s Leading Private Equity Lawyers and by Asia Law and Practice, and as a Leading Lawyer for Venture Capital/Private Equity, Capital Markets and Corporate Finance by China Law and Practice. Ed is bilingual in English and Mandarin Chinese.
